1. Acceptance of Terms

Welcome to Childcare.Center! These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "user") and Childcare.Center ("we," "us," or "our") governing your access to and use of the website childcare.center, including any related mobile applications, features, or functionalities (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.  

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.  

3. Description of Service

Childcare.Center is an online platform that connects parents and guardians ("Parents") with childcare providers ("Providers"). We provide a directory of Providers, allowing Parents to search for and learn more about childcare options. We also offer certain features that facilitate communication between Parents and Providers.

4. Disclaimer

We are not a childcare provider and do not endorse or recommend any particular Provider. We do not guarantee the accuracy, completeness, or reliability of any information provided by Providers on the Service. It is your responsibility to independently verify any information about a Provider and to conduct your own research before making any decisions about childcare.

We do not guarantee the availability of any Provider or that any Provider will meet your specific needs. We are not responsible for any interactions or agreements between Parents and Providers. Any disputes arising between Parents and Providers must be resolved directly between them.

5. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Childcare.Center, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.  

6. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, provincial, local, or international law or regulation.  
• Impersonate or attempt to impersonate Childcare.Center, a Childcare.Center employee, another user, or any other person or entity.  
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Childcare.Center or users of the Service or expose them to liability.  
• Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service, including their ability to engage in real-time activities through the Service.  
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.  
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.  
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Service.  

7. User Accounts

If you create an account on the Service, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to terminate your account and refuse any and all current or future use of the Service if we believe that you have provided false, inaccurate, outdated, or incomplete information.  

8. User Contributions

The Service may contain features that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Service.  

All User Contributions must comply with the Content Standards set out in these Terms.

You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.  
• Your User Contributions do not and will not: (a) infringe, violate, or misappropriate any third party's intellectual property rights, or rights of publicity or privacy; (b) violate any applicable law or regulation; (c) be defamatory, trade libelous, unlawfully threatening, unlawfully harassing, impersonate or intimidate any person, falsely state or otherwise misrepresent your affiliation with any person or entity, or express or imply that we endorse you, your website, your business, or any statement you make, or present false information about us; (d) be obscene or contain child pornography; (e) contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data, or personal information.  

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Childcare.Center, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.  

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Service.

9. User Conduct

You agree to use the Service in a responsible and respectful manner. You will not:

• Use the Service to harass, abuse, or threaten any other user or person.
• Use the Service to post or transmit any content that is unlawful, harmful, offensive, threatening, or abusive.
• Use the Service to post or transmit any content that violates the privacy or intellectual property rights of others.
• Use the Service to engage in any conduct that is disruptive or disruptive to the Service or other users.
• Use the Service to promote or advertise any illegal or harmful activities.
• Use the Service to solicit personal information from other users or to engage in any other form of phishing or scamming.
• Use the Service to send spam or unsolicited messages to other users.
• Use the Service to engage in any other activity that we deem to be inappropriate or harmful.

We reserve the right to terminate your account or take other action if we believe that you have violated these rules of conduct.

10. Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by Childcare.Center. We are not responsible for the content, privacy practices, or terms of service of any third-party websites or services. We encourage you to review the privacy policies of any third-party websites or services you visit.  

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or secure.  

12. Limitation of Liability

In no event will Childcare.Center, its affiliates, or any of their respective officers, directors, employees, agents, or licensors be liable for any direct, indirect, special, incidental, consequential, punitive, or exemplary damages, including, but not limited to, damages for loss of profits, business interruption, goodwill, or any other intangible losses, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.  

13. Indemnification

You agree to indemnify, defend, and hold harmless Childcare.Center, its affiliates, and any of their respective officers, directors, employees, agents, and licensors from any and all claims, demands, suits, actions, losses, liabilities, damages, costs, and expenses arising out of or in connection with your use of the Service, including, but not limited to, any claims that you have violated these Terms of Use.

14. Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with these Terms of Use shall be resolved exclusively by the courts located in the Province of Ontario, Canada.  

15. Changes to These Terms

We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on the Service. Your continued use of the Service after any such changes constitutes your acceptance of the modified Terms.  

16. Entire Agreement

These Terms, together with any additional terms and conditions that may be applicable to specific features or services on the Service, constitute the entire agreement between you and Childcare.Center regarding your use of the Service.
