The Terms of Use are a legally binding agreement between you, whether you are an individual or entity, and Childcare.Center, (“we,” “us” or “our”) regarding your use and access to the childcare.center website and its services, along with any other media format, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site and Services”). By using the Site and Services, you agree that you have read, understood, and agreed to be bound by all these Terms of Use. If you do not agree with these terms of use, you are expressly prohibited from using the Site and Services and must discontinue using them immediately. Persons under the age of 18 cannot use or register for the Site or Services. The Site and Services are intended for users over the age of 18.

CHILDCARE.CENTER IS A MARKETPLACE AND BUSINESS DIRECTORY

The Childcare.Center platform connects parents or guardians with childcare providers (“Providers”), together known as Registered Users, including through Provider listings on our site and services, providing Billing Services (see below) to Parents and Providers.
We don’t provide, supervise or oversee childcare services, but provide technology services. As a non-party to any agreement between a Provider and a Parent (a “Provider Agreement”), Childcare.Center is not an agent, affiliate or employee of Providers or their authorized personnel.
Neither Childcare.Center nor its affiliates makes any representation or warranty concerning the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content or information provided by or otherwise about Providers.
It is your responsibility to independently verify any information about a Provider that you access through our Site and Services, review its policies and terms of enrollment (if applicable), and evaluate its facilities and credentials.

 SERVICE DISCLAIMERS

In connection with the Services, we do not control or vet the accuracy, thoroughness or reliability of the representations or other content made by Providers and Parents, and we expressly disclaim any responsibility for such accuracy, comprehensiveness or reliability of any information provided by Providers or Parents. No liability is assumed or expressed for the use of our Site or Services.
As a service provider, we are not responsible for the quality, timing, hours, pay, legality, or any other aspect of the services that Providers provide.

RIGHTS TO INTELLECTUAL PROPERTY

The Site and Services are our proprietary property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics are either owned or controlled by us, or licensed to us. The Content and the Marks on the Site and Services are provided for your information and personal use only. Without our express written permission, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Site and Services, Content, or Marks.

DATA AND CONTENT SCRAPING

You are not permitted to scrape, extract, or otherwise use the data and content listed on our Site and Services for any commercial purpose, including for use on another website or application, without our express written permission. If you wish to use the data or content for such purposes, you must contact us and obtain our permission. Violation of this term may lead to legal action.

REPRESENTATIONS OF USERS

• You will maintain the accuracy of the registration information and promptly update it
• It is your legal responsibility to comply with these terms and conditions.

• You will not use the Site or Services for any illegal or unauthorized purposes.

• You are responsible for providing true, accurate, current, and complete information. We may suspend or terminate your account if you provide inaccurate, not current, or incomplete information. We may also refuse any and all current or future use of the Site and Services (or any portion thereof).

REGISTRATION OF USERS

In order to use the Site and Services, you may be required to register. You agree to maintain your password confidentially and will be responsible for all activities involving your account and password. In the event that we determine, in our sole discretion, that a username you select is inappropriate, obscene, or otherwise objectionable, we reserve the right to remove, reclaim, or change it.

PAYMENT AND SUBSCRIPTIONS

Recurring payments will be charged on your first payment date and each subsequent billing period until you cancel them. You will receive a copy of the payment receipt by email.
Billing Services are provided by a third-party service provider. By using our Billing Services, you expressly authorize us to provide your payment information to third parties.
The third-party service provider may create an account for you, or require you to create one, and you agree to any of the terms and conditions applicable to such third-party service provider. Our current provider is Stripe, and you agree to Stripe’s terms and conditions by using our Services. We reserve the right to change our third-party service provider.

SERVICE CANCELLATION

You can cancel your Recurring Payment at any time by contacting us using the contact information provided below, or through our website under payments or subscriptions. It will take effect at the end of the current paid period. When you cancel, you will not receive a refund of the recurring payments you have paid for the current billing period.

PROHIBITED ACTIVITIES

You may not access or use the Site and Services for any purpose other than those for which we make them available. The Site and Services may not be used for any commercial endeavors other than those we specifically endorse or approve. When using the Site and Services, you agree not to:

• Attempt to learn sensitive account information, such as a password, by tricking, defrauding, or misleading us or others.
• Falsely report abuse or misconduct or abuse our support services.
• Utilize the system in an automated way, such as by sending messages or comments through scripts, or by using data mining or robots to gather and extract data.
• Affect, disrupt, or cause undue burden on the Site and Services or the networks and services that are connected to the Site and Services.
• Harass, abuse, or harm another person using information obtained from the Site or Services.
• You may not use the Site and Services for any commercial purposes, including competing with us or for any revenue-generating endeavors.
• The act of uploading or transmitting (or attempting to upload or transmit) viruses, Trojan horses, spyware, or other material, and spamming, which impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site and Services, or alters, impairs, disrupts, alters, or interferes with the Site and Services.

 USERS CONTRIBUTIONS

You may be invited to chat, contribute to, or participate in blogs, reviews, social media groups, and other features on the Site and Services, including writings, videos, audio, photographs, graphics, suggestions, comments, or other material (“Contributions”).

In such a case, any Contributions that you transmit may be treated as non-confidential. If you create or make available any Contributions, you represent and warrant that:

Contributions you make do not violate any laws, regulations, or rules.
No third party’s privacy or publicity rights are violated by your Contributions.
Violations of these Terms of Use will result in termination or suspension of your rights to use the Site and Services, among other things.

SUBMISSIONS

All questions, comments, suggestions, ideas, feedback, or other information you provide to us regarding the Site and Services (“Submissions”) are non-confidential and become our sole property.

ADVERTISERS

Advertising and other information can be displayed on certain parts of the Site and Services, such as sidebar ads and banner ads. In the event you are an advertiser, you are fully responsible for any advertisements you place on the Site and Services, the services you provide on the Site and Services, and the products you sell through those ads. You further warrant and represent that, as an advertiser, you possess all intellectual property, publicity, and contractual rights necessary to place advertisements on the Site and Services. Aside from providing the space to place such advertisements, we do not have any other relationship with advertisers.

INFRINGEMENTS OF COPYRIGHTS

A violation of the intellectual property rights of others is unacceptable to us, and we terminate account holders who repeatedly violate the rights of copyright holders in appropriate circumstances. If you believe that any material available on or through the Site and Services infringes upon any copyright you own or control, please immediately notify us by sending email to [email protected].

TERMS AND TERMINATION

During your use of the Site and Services, these Terms of Use will remain in full force and effect.
We reserve the right to deny access to and use of the site and services (including blocking certain IP addresses), without notice or liability, without limiting any other provision of these terms of use, for any reason or for no reason, including breach of these terms of use, warranty, or covenant. At any time, without warning, we may terminate your use of the site and services and delete your account and any content or information you posted.
